What is the purpose of a Commercial Registry certificate?<\/h2>\n

The Commercial Registry is the body responsible for the public registration of commercial companies, being responsible for the registration of a company\u2019s corporate acts, such as incorporation, contractual amendments, the admission and withdrawal of partners, change of address, opening and closing of branches and dissolution.<\/p>\n

The certificate is the official document that attests to what is contained in this public records. Its primary function is to provide legal certainty to third parties: those who contract, finance or negotiate with a company requires a reliable source to confirm that the company exists, identify its managers, and verify that executed corporate acts align with its current registered status. This is precisely why the certificates are so present in bids, credit transactions and audit processes. <\/p>\n

What are the most requested certificates from the Commercial Registry?<\/h3>\n

Although Commercial Registries offer several certificates, three of them account for most of the demand. These are: <\/p>\n

Simplified certificate: <\/strong>provides the current snapshot of the company in a single document, such as: corporate name, NIRE<\/a>, CNPJ, address, branches, economic activity, share capital, partners and administrators, in addition to the list of corporate acts filed and previous company names. It is the most used certificate in public bids and proof before financial institutions. <\/p>\n

Specific certificate:<\/strong> consists of a report on specific elements contained in filed records, according to what the applicant intends to have certified. It serves when the interested party does not need the complete picture, but a specific piece of information or a specific excerpt from the company history. <\/p>\n

Full content certificate:<\/strong> certified copy of a specific act filed. It applies when the report of the content is not enough and the document is required in its entirety, such as the articles of association itself or a specific amendment. <\/p>\n

What does federal regulation say?<\/h2>\n

Commercial Registry certificates are governed at the federal level by the National Business Registration and Integration Office (DREI). DREI Normative Ruling No. 20\/2013<\/a> defines the types of certificates and their legal nature, establishing, for instance, the specific certificate as a report of the elements contained in filed acts (art. 3) and the full content certificate as a copy of a filed act (art. 4). This standardization ensures that a certificate issued in one state has the same legal nature as another issued in a different state, even if the layout<\/em> and fees vary. <\/p>\n

Key Considerations Before Requesting<\/h3>\n

Three details can go unnoticed and compromise the outcome:<\/p>\n

The first is the accuracy of the information.
